Platform Terms of Service

These terms apply to both Partners (Shopify app developers) and Affiliates (commission earners) using the Shape Affiliates platform. Additional specific terms may apply based on your account type and usage.
1. Introduction
Welcome to Shape Affiliates Inc. ("Shape Affiliates," "we," "our," or "us"). These Terms of Service (the "Agreement") govern your use of the Shape Affiliates platform (the "Platform"), whether you register as a Partner or an Affiliate.
- A Partner is a Shopify Partner or app developer using the Platform to manage and pay affiliate commissions.
- An Affiliate is an individual or business promoting Partner apps to merchants in exchange for commissions.
By registering, accessing, or using the Platform, you agree to be bound by this Agreement. If you do not agree, you must not use the Platform.
2. Relationship Overview
Shape Affiliates provides a web-based platform to connect Partners and Affiliates for referral and commission programs related to Shopify apps and services.
- Shape Affiliates acts as a technology intermediary — not as a payment guarantor, employer, or agent of either party.
- The relationship between Partners and Affiliates is independent and directly between those parties.
- Shape Affiliates facilitates tracking, reporting, and payment processing through Stripe Connect, but does not control or guarantee any specific transaction outcome.
3. Eligibility
To use the Platform, you must:
- Be at least 18 years old
- Provide accurate and complete account information
- Have a valid email address and bank account capable of receiving payouts in U.S. dollars (USD)
- Comply with all applicable laws and tax obligations
- Successfully complete Stripe Connect onboarding and maintain a verified account
We reserve the right to refuse or terminate accounts at our discretion.
4. Account Types
4.1 Partner Accounts
Partners can create and manage affiliate programs, set commission terms, and authorize payments to Affiliates. Partners are responsible for:
- Determining commission eligibility and payout amounts
- Funding commissions owed to Affiliates
- Providing accurate data on referred merchants
- Complying with Shopify's Partner Program Terms and all applicable laws
4.2 Affiliate Accounts
Affiliates can join Partner programs, share referral links, and receive commissions for valid referrals. Affiliates are responsible for:
- Promoting Partner apps ethically and truthfully
- Complying with advertising disclosure regulations (e.g., FTC affiliate disclosure)
- Maintaining valid Stripe Connect and tax information
Shape Affiliates may suspend or terminate any account found to engage in fraudulent, misleading, or abusive conduct.
5. Stripe Connect and Payment Processing
Payment Infrastructure
All commission payouts and Partner deposits are processed through Stripe Connect. By using the Platform, you agree to the Stripe Services Agreement and the Stripe Connected Account Agreement.
Account Verification
Both Affiliates and Partners must complete Stripe's onboarding and verification. Stripe may request identity documents, tax details, and banking information.
No Payment Guarantee
Shape Affiliates is not liable for any unpaid commissions or delayed Partner deposits. Affiliates acknowledge that payment depends entirely on the Partner's funding and authorization.
6. Commissions and Payouts
Commission rates, eligibility, and payout schedules are defined by each Partner within their program. Shape Affiliates calculates commissions based on tracked referrals and the terms configured by the Partner, and facilitates payouts once a Partner authorizes and funds them.
7. Acceptable Use
You agree not to misuse the Platform. Prohibited activities include:
- Fraudulent, self-referred, or artificially generated referrals
- Misrepresenting Partner apps or making false claims
- Attempting to interfere with tracking, reporting, or payment systems
- Violating any applicable law or third-party rights
8. Intellectual Property
The Platform, including its software, design, and content, is owned by Shape Affiliates and protected by intellectual property laws. You may not copy, modify, or redistribute any part of the Platform without our written permission.
9. Termination
You may stop using the Platform at any time. We may suspend or terminate your access if you breach this Agreement or engage in conduct that harms the Platform, other users, or third parties. Outstanding obligations, including commissions owed between Partners and Affiliates, survive termination.
10. Disclaimers
The Platform is provided on an "as is" and "as available" basis. Shape Affiliates does not warrant that the Platform will be uninterrupted, error-free, or that referrals will result in any particular outcome.
11. Limitation of Liability
To the maximum extent permitted by law:
- Shape Affiliates provides the Platform "as is" and "as available," without warranties of any kind.
- Shape Affiliates is not liable for any unpaid commissions, Partner defaults, or Stripe-related delays.
- Total liability shall not exceed the lesser of (a) USD $500 or (b) the total fees paid to Shape Affiliates by you in the past six (6) months.
12. Indemnification
You agree to indemnify and hold Shape Affiliates harmless from any claims, damages, or expenses arising out of your use of the Platform, your violation of this Agreement, or your infringement of any third-party rights.
13. Changes to These Terms
We may update this Agreement from time to time. When we do, we will revise the "Last updated" date above. Continued use of the Platform after changes take effect constitutes acceptance of the revised terms.
14. Governing Law and Jurisdiction
This Agreement is governed by the laws of the Province of British Columbia and the laws of Canada applicable therein. Any disputes shall be resolved exclusively in the courts of British Columbia, Canada.
